Informatica to Go Private in $5.3 Billion Leveraged Buyout

(Reuters) – Business software maker Informatica Corp said it would be bought for about $5.3 billion by private equity firms Permira Funds and Canada Pension Plan Investment Board (CPPIB), in the biggest U.S. leveraged buyout so far this year.

Informatica shareholders will get $48.75 per share in cash. The company’s shares rose 4.5 percent to $47.93 in early trading on Tuesday.

The stock rose 4 percent on Monday after Reuters reported that Permira/CPPIB and a partnership of Thoma Bravo LLC and Ontario Teachers’ Pension Plan had submitted bids for Informatica.

Activist hedge fund Elliott Management Corp disclosed an 8 percent stake in Informatica in January and said it was speaking to the company about ways to maximize shareholder value.

Sohaib Abbasi

He envisioned and launched the Oracle Tools business, which he grew from zero to $3.75 billion in cumulative license revenues. Abbasi graduated with honors from the University of Illinois at Urbana-Champaign in 1980, where he earned a Bachelor of Science and a Master of Science degree in computer science.

Mark A. Bertelsen

Mark A. Bertelsen joined the Informatica Board of Directors in September 2002. He is a senior partner of Wilson Sonsini Goodrich and Rosati, the U.S.’s premier legal adviser to technology, life sciences, and other growth enterprises worldwide. Bertelsen joined the firm in 1972 and has played a major role in its development and growth, including serving as managing partner from 1990 to 1996. Bertelsen is a business lawyer who regularly advises senior management and boards of directors on matters relating to corporate governance, corporate finance and securities, mergers and acquisitions, strategic alliances, and international transactions. For over 30 years, Bertelsen has advised and represented companies that have transformed their industries in computer hardware, software, telecommunications, semiconductors, new media, and clean energy. Bertelsen is a trustee of the University of California, Berkeley Foundation. Bertelsen is also a member of the executive committee of the U.C. Santa Barbara Foundation and served as its chair from 2001-2003. Bertelsen received his law degree from the University of California Berkeley School of Law in 1969 and a bachelor’s degree in Political Science from the University of California, Santa Barbara, in 1966.

Amy Chang

Amy Chang joined the Informatica Board of Directors in July 2012. Chang is currently the chief executive officer and founder of Accompani. Previously as an executive at Google from July 2005 to August 2012, she led a number of strategic initiatives, including responsibility for reporting on Google’s advertisement monetization products. As the global head of Product, Ads Measurement and Reporting at Google for six years, Chang led a portfolio of products, including Google Analytics, multi-channel conversion attribution and Website Optimizer. Chang’s focus was to make Google Analytics the de facto platform for marketers on digital engagement and spend. She advanced Google Analytics to become one of the most prominent platforms for marketers to leverage search, social, and mobile data with Google Analytics serving over 10 million customers worldwide. Chang has extensive product and online advertising experience from global industry-leading organizations, including Google, eBay, and McKinsey & Company. She received both her Bachelor of Science in Electrical Engineering, Hardware and Master of Science in Electrical Engineering, Network Systems, from Stanford University. Chang is also a member of the advisory board of several privately-held companies.

Mark Garrett

Mark Garrett joined the Informatica Board of Directors in October 2008. Since February 2007, he has served as the executive vice president and chief financial officer at Adobe and is responsible for the company’s worldwide finance, operations, and information technology activities, including investor relations, purchasing, facilities, global supply chain management and order management. From 2004 to 2007, Garrett served as senior vice president and chief financial officer of EMC Software, the multi-billion dollar software group of EMC Corporation. Prior to its acquisition by EMC, Garrett was the chief financial officer of Documentum. Garrett began his career in 1979 at IBM, where he spent 12 years in senior accounting and finance management positions. Thereafter, he joined Cadence Design Systems, where he was eventually named as vice president of finance. Garrett currently serves on the board of directors for the Adobe Foundation, the Children’s Discovery Museum of San Jose, and Model N, Inc. He holds bachelor’s degrees in Accounting and Marketing from Boston University and a Master of Business Administration from Marist College.

Gerald Held

Gerald Held joined the Informatica Board of Directors in November 2008. He has been a successful entrepreneur, executive, and investor in Silicon Valley for over 30 years, involved in managing all growth stages of companies from conception to multi-billion dollar global enterprises. He is currently chief executive officer of Held Consulting, LLC, which provides strategic consulting to chief executive officers and senior executives of technology firms ranging from startups to large organizations, as well as major private equity firms. Dr. Held also serves on the board of NetApp, Inc. and several other privately-held companies. In 1998, Dr. Held was CEO-in-residence at the venture capital firm Kleiner Perkins Caufield & Byers. From 1993 to 1997, he was senior vice president of Oracle Corporation’s server technologies division, leading a division of 1,500 people and helping the company grow from $1.5 billion to $6 billion annually. Prior to Oracle, he spent 17 years at Tandem Computers, Inc., where he was a member of the executive team that grew Tandem from a startup to a $2 billion company. Throughout his tenure at Tandem, Held was appointed to several senior management positions, including chief technology officer, senior vice president of strategy, and vice president of new ventures. Held received a Bachelor of Science in Electrical Engineering from Purdue University, a Master of Science in Systems Engineering from the University of Pennsylvania, and a Doctorate in Computer Science from the University of California, Berkeley, where he led the initial development of the INGRES relational database management system. He also attended the Stanford Business School’s Executive Program. Dr. Held is also a member of the board of directors of the Tech Museum of Innovation.

Hilarie Koplow-McAdams

Hilarie Koplow-McAdams joined the Informatica Board of Directors in March 2014. Koplow-McAdams brings more than 25 years of go-to-market experience in cloud and on-premise software markets gained during high-growth years of industry leading organizations. Koplow-McAdams is currently the chief revenue officer for New Relic, responsible for global sales, customer success, support, services, and business development. Previously at salesforce.com, Koplow-McAdams held a variety of sales leadership roles in which she helped grow its cloud business from $1 billion annually to nearly $4 billion, most recently as president of global sales. Earlier at Intuit, as a member of the executive committee and vice president of sales, Koplow-McAdams was responsible for cloud and on-premise small business solutions. During her 18-year tenure at Oracle Corporation, Koplow-McAdams led the direct sales organization to drive the company’s rapid growth in both the technology and applications on-premise software business. She received a Masters of Arts in Public Policy from the University of Chicago and a Bachelor of Arts degree from Mills College.

Charles J. Robel

Charles Robel joined the Informatica Board of Directors in November 2005. He currently serves on the board of directors of Jive Software, Inc., Model N, Inc., Palo Alto Networks, Inc., and a number of other privately-held companies. Previously, Robel served as chairman of the board of McAfee, Inc. from October 2006 until its acquisition by Intel in February 2011. From 2000 to 2005, Robel was a general partner and chief of operations for Hummer Winblad Venture Partners, a leading software industry venture capital firm. From January 1974 to May 2000, he was a partner with PricewaterhouseCoopers, LLP, and from mid-1995 to May 2000, Robel led PricewaterhouseCoopers’ High Technology Transaction Services Group in Silicon Valley, advising on strategy, valuation, and structuring for mergers and acquisitions. Robel has a Bachelor of Science in Accounting from Arizona State University.

A. Brooke Seawell

A. Brooke Seawell joined the Informatica Board of Directors in December 1997.Seawell has been a venture partner with New Enterprise Associates, a venture capital firm, since January 2005. From February 2000 to December 2004, Seawell was a partner with venture capital firm Technology Crossover Ventures. From January 1997 to August 1998, Seawell was executive vice president of NetDynamics, an applications server software company, which was acquired by Sun Microsystems. From March 1991 to January 1997, Seawell was senior vice president and chief financial officer of Synopsys, an electronic design automation software company. Seawell holds a Bachelor of Arts degree in Economics and a Master of Business Administration degree in Finance and Accounting from Stanford University. Seawell serves on the board of directors of NVIDIA Corporation, Glu Mobile Inc., and several other privately-held companies. Seawell also served on the Management Board of the Stanford Graduate School of Business from 2008 to 2012.

Geoffrey W. Squire

Geoffrey W. Squire joined the Informatica Board of Directors in October 2005. Squire is presently the chairman of Kognitio, a provider of business intelligence services. From May 2002 to January 2009, he was chairman of the UK-based public company, The Innovation Group, a provider of business services to the global insurance community. From April 1997 to June 2005, Squire was vice chairman of Veritas, a storage solutions software company, and from June 1995 to April 1997, he was chief executive officer of OpenVision, a systems management software company. Prior to OpenVision, Squire was responsible for the launch of Oracle UK and served as the chief executive officer of Oracle Europe and president of Oracle Worldwide Operations. A former president of the UK Computing Services & Software Association and the European Information Services Association, Squire holds an honorary doctorate from Oxford Brookes University and was awarded an Officer of the Order of the British Empire for his contributions to the information industry. Squire also serves on the boards of directors of a number of privately-held companies.
